1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TeamMuse.ai ("Company," "we," "us," or "our"), a service operating from the State of Washington. These Terms govern your access to and use of our AI-powered product planning and analysis platform, including any software, applications, websites, and services provided by us (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

2. Description of Service

TeamMuse.ai provides an AI-powered platform that assists software development teams with product planning and feature analysis. The Service includes:

  • Analysis of codebases and feature requests using AI agents
  • Product management insights and recommendations
  • Design and user experience considerations
  • Development architecture and implementation guidance
  • Quality assurance and testing recommendations
  • Cloud-based environment for secure codebase analysis

The Service is provided on a subscription basis, with pricing and features as described on our website. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use this Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

3.2 Account Creation

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

3.3 Account Security

You are solely responsible for safeguarding your account credentials. We will not be liable for any loss or damage arising from your failure to maintain account security. You must immediately notify us of any unauthorized use of your account.

4. Codebase Access and Data Usage

4.1 Grant of Access

By using the Service, you grant us a limited, non-exclusive, revocable license to access, clone, process, and analyze your codebase and related materials solely for the purpose of providing the Service to you. This license includes the right to:

  • Clone your codebase into a secure, cloud-based environment
  • Process your code using our AI agents and analysis tools
  • Generate insights, recommendations, and reports based on your code
  • Store your codebase data for the duration necessary to provide the Service

4.2 Your Control and Rights

You retain all ownership rights to your codebase and intellectual property. You may delete your cloud environment and all associated codebase data at any time through your account settings. Upon such deletion:

  • Your codebase will be permanently removed from our active systems within 48 hours
  • Backup copies will be deleted within 30 days
  • Analysis results may be retained in anonymized form for service improvement unless you request full deletion

4.3 Confidentiality

We treat your codebase as confidential information and will not disclose it to third parties except as necessary to provide the Service (e.g., AI service providers) or as required by law. Our service providers are contractually obligated to maintain confidentiality.

4.4 Restrictions on Our Use

We will not:

  • Use your codebase for any purpose other than providing the Service to you
  • Train general-purpose AI models on your specific codebase without your explicit consent
  • Share your code with other users or make it publicly available
  • Claim any ownership rights to your codebase or intellectual property

5. User Responsibilities and Acceptable Use

5.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Upload or submit any code that you do not have the right to use or share
  • Use the Service to develop or distribute malicious software, malware, or harmful code
  • Attempt to gain unauthorized access to any portion of the Service or related systems
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Use automated systems or scripts to access or interact with the Service without authorization
  • Resell, redistribute, or otherwise commercialize the Service without our written permission
  • Violate any applicable laws, regulations, or third-party rights

5.2 Content Responsibility

You are solely responsible for all code, data, and materials you submit to the Service. You represent and warrant that:

  • You own or have the necessary licenses and permissions for all submitted content
  • Your content does not infringe or violate any third-party rights
  • Your content complies with all applicable laws and regulations
  • Your content does not contain malicious code, viruses, or harmful components

5.3 Compliance with Laws

You agree to comply with all applicable federal, state, and local laws, including export control laws and regulations. You are responsible for determining whether your use of the Service complies with applicable laws in your jurisdiction.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including all software, text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, is the property of TeamMuse.ai or our licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Intellectual Property

You retain all ownership rights to your codebase and any content you submit to the Service. We do not claim any ownership rights to your intellectual property.

6.3 Analysis Results and Reports

The analysis results, insights, and recommendations generated by our AI agents based on your codebase are provided to you for your use. You may use these results in connection with your software development activities. We retain the right to use aggregated, anonymized data derived from analysis results to improve the Service.

6.4 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.

7. Payment Terms

7.1 Subscription Fees

Access to certain features of the Service requires payment of subscription fees as described on our pricing page. By subscribing, you agree to pay all applicable fees according to the billing terms in effect at the time.

7.2 Billing and Payment

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). You authorize us to charge your designated payment method for all fees. If payment cannot be processed, we may suspend or terminate your access to the Service.

7.3 Refunds and Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period. No refunds will be provided for partial billing periods, except as required by law or as we determine in our sole discretion.

7.4 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect your current subscription period but will apply upon renewal. We will provide at least 30 days' notice of any price increases.

8. Disclaimers and Limitations of Liability

8.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

  • The Service will meet your specific requirements or expectations
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results, recommendations, or insights provided by the Service will be accurate, complete, or reliable
  • Any errors or defects in the Service will be corrected
  • The Service will be compatible with all systems, browsers, or devices

8.2 AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate insights and recommendations. AI-generated content may contain errors, inaccuracies, or biases. You acknowledge that:

  • AI recommendations should be reviewed and validated before implementation
  • We do not guarantee the accuracy, completeness, or reliability of AI-generated content
  • You are solely responsible for decisions made based on AI-generated insights
  • AI analysis is intended to supplement, not replace, human judgment and expertise

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEAMMUSE.AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your content or codebase
  • Errors, inaccuracies, or omissions in AI-generated recommendations
  • Any decisions made in reliance on Service recommendations

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

8.4 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

8.5 Applicability

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations and exclusions may not apply to you, and our liability will be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless TeamMuse.ai, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of or inability to use the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your content, codebase, or materials submitted to the Service
  • Any claim that your content or codebase caused damage to a third party
  • Your violation of any applicable laws or regulations

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of these claims.

10. Term and Termination

10.1 Term

These Terms commence when you first access or use the Service and continue until terminated in accordance with this section.

10.2 Termination by You

You may terminate your account at any time by contacting us at hello@teammuse.ai or through your account settings. Termination will be effective at the end of your current billing period.

10.3 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Violation of applicable laws or regulations
  • Conduct that we determine, in our sole discretion, is harmful to other users, us, or third parties

10.4 Effects of Termination

Upon termination:

  • Your right to access and use the Service will immediately cease
  • Your codebase data will be deleted in accordance with our Privacy Policy
  • We may delete your account and all associated data
  • You remain liable for all fees incurred prior to termination
  • Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

11.2 Jurisdiction and Venue

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Washington State, and you irrevocably consent to the personal jurisdiction and venue of such courts.

11.3 Informal Dispute Resolution

Before filing any formal legal action, you agree to first contact us at hello@teammuse.ai to attempt to resolve any dispute informally. We commit to working with you in good faith to resolve disputes before resorting to formal legal proceedings.

11.4 Class Action Waiver

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features of the Service, constitute the entire agreement between you and TeamMuse.ai regarding the Service and supersede all prior agreements and understandings.

12.2 Waiver and Severability

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

12.3 Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

12.4 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, terrorism, riots, wars, or failures of third-party services or infrastructure.

12.5 Export Control

The Service may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and import laws and regulations in your use of the Service.

12.6 Notices

Notices to you may be made via email or through the Service. We may also provide notices by posting them on our website. You agree that electronic notices satisfy any legal requirement that such communications be in writing.

12.7 Relationship of Parties

These Terms do not create any agency, partnership, joint venture, employment, or franchisee relationship between you and TeamMuse.ai.
